Reseller Terms of Service Policy
Finnalby serves as a platform linking Wholesale Sellers and Resellers, along with Retail Sellers and Consumers via its web pages, Applications, and Social Networking Channels. Continue reading to learn about your rights and responsibilities as a Reseller on Finnalby.
This guideline constitutes a portion of our Terms of Service Policy. When you establish a Reseller Account on Finnalby for buying Wholesale goods and/or services, you consent to this policy and our Terms of Service Policy.
Reseller Account:
To acquire an account with Finnalby as a Reseller, you must register, set up a Reseller account, and receive Finnalby's approval ("Reseller Account"), as further elaborated in the Terms of Service. We maintain the authority to deactivate your account if we determine any breach of these Retail Seller Terms has occurred, including instances of selling products in unauthorized locations or platforms other than Finnalby (as further detailed in these Reseller Terms). By accepting these Reseller Terms and providing the requested information during the application process, you authorize Finnalby and its affiliates and payment processors to settle and disburse funds to you and on your behalf, including for any third-party brands whose products you intend to distribute on the platform. You acknowledge that Finnalby can only accept a limited number of Resellers at any given time and is not obligated to accept you as a Reseller. You release Finnalby from any liability regarding the acceptance process. The terms "include" or "including" within these Retail Seller Terms signify "including, but not limited to".
Definitions:
“Wholesale Seller” means a Seller who proposes and/or sells goods to Resellers through Finnalby Services.
“Reseller” means a vendor who procures products through the Wholesale Sellers on the Finnalby Services for the purpose of reselling them.
"Retail Seller" refers to a vendor who proposes and/or sells goods to End Users or Consumers through Finnalby Services.
"Buyer" denotes an individual who procures products via Finnalby Services for Consumption purposes.
Acquiring an Item on Finnalby:
When you purchase goods and/or services from a Wholesaler, you are not buying directly from Finnalby.
Finnalby has no control over the products advertised, Wholesale Sellers’ capacity to sell items, or Resellers’ ability to make payments.
Finnalby does not pre-screen items sold on Finnalby and therefore does not guarantee or endorse any items sold on Finnalby or any content posted by Wholesale Sellers (such as photographs or language used in listings or market policies).
Each Wholesale Seller on Finnalby has their own processing times, shipping methods, and market policies, in addition to Finnalby’s Terms of Service.
As a Member of the Finnalby Marketplace, you have the opportunity to report a product or a Market that violates any of Finnalby’s policies. The reporting party is kept strictly confidential.
Purchases on Finnalby:
When purchasing from a market on Finnalby, you're directly supporting an independent Seller, each with its distinct listings, policies, and processing times. By making a purchase from a Seller on Finnalby, you acknowledge that you have:
Reviewed the product description and store policies prior to making a purchase;
Submitted proper payment for the item(s) bought; and
Provided accurate shipping details to the Seller.
Furthermore, you agree to adhere to our Finnalby Gift Card, Credits & Coupons Policy when buying or redeeming Finnalby Gift Cards, Finnalby Credits, or Finnalby Coupons.
Requirements:
To qualify for a Reseller Account, you must provide a valid FEIN, EIN or reseller's permit for tax purposes. Finnalby may send you a 1099-K form at the end of the year for tax reporting, where required by law.
Order Fulfillment:
Order fulfillment using third-party websites is prohibited unless approved by Finnalby. Wholesale Sellers may set an Order Minimum, which is the minimum dollar amount a Reseller must spend to purchase from the particular Wholesale Seller. They also may require a minimum case order, which identifies how many pieces must be ordered for each item to be purchased from this particular Wholesale Seller. Some Wholesale Sellers have both Minimum Case Sizes and Order Minimums.
Refusal of Orders:
Wholesale Sellers and/or Finnalby reserve the right to refuse order completion for any reason. Finnalby encourages Wholesale Sellers to maintain sufficient inventory but does not guarantee it. Samples may not be available from a Wholesale Seller, and if provided, are non-returnable and non-refundable.
No Circumvention:
Wholesale Sellers must fulfill all orders placed by Resellers through the Site and not influence Resellers to transact offline or circumvent Finnalby's process. Failure to abide by these terms may result in account deactivation or termination of your Account. Finnalby reserves the right file suit to reclaim lost fees, future loss of business and attorney fees.
Shipping Location:
You must provide a valid physical address for product delivery. Finnalby does not allow forwarding of purchased products to overseas locations.
Taxes:
You are solely responsible for the collection and remittance of taxes and any other payments or filings required under applicable law. You agree to indemnify, defend, and hold Finnalby harmless against any such taxes, contributions, penalties, and/or interest.
Interacting with Other Finnalby Members
Finnalby Chat
Resellers and Wholesale Sellers shall communicate directly through Finnalby Chat on the Site. Use Finnalby Chat only for legitimate business purposes, such as answering questions or resolving issues. Do not abuse Finnalby Chat or use it for personal conversations, harassment or other improper conversations or purposes. Contact Finnalby directly if you cannot answer a question or resolve an issue by emailing us directly at CustomerService@Finnalby.com.
Sending unrequested advertisements, promotions or spam, or soliciting donations;
Harassing or mistreating another member or otherwise breaching our Anti-Discrimination Policy;
Reaching out to someone after they have explicitly requested not to be contacted; or
Disrupting a transaction or interfering with another member's business.
Sharing personal contact, financial, or other information for the purpose of circumventing the checkout process on Finnalby, including phone numbers, addresses, emails, social media profiles, external links, or instructions for money transfers.
Exercise caution when exchanging personal information that is not strictly necessary for completing a transaction.
Acquiring an Item on Finnalby as a Reseller
When purchasing from a Wholesale Market on Finnalby, you're directly supporting an independent Wholesale Seller, each with its own distinct listings, policies, and processing times. By making a purchase from a Wholesale Seller on Finnalby, you acknowledge that you:
Have reviewed the product description and Market policies prior to making any purchase;
Have submitted proper payment for the item(s) bought; and
Have provided accurate shipping details to the Wholesale Seller.
Agree to adhere to our Finnalby Gift Card, Credits & Coupons Policy when buying or redeeming Finnalby Gift Cards, Finnalby Credits, or Finnalby Coupons.
For purchases from Wholesale Sellers using Finnalby Ledger, Resellers may authorize payment with any major credit or debit card accepted by Finnalby, Finnalby Gift Cards, Finnalby Credits, and Finnalby Coupons (subject to applicable limitations), or through specific bank transfer services. By employing a third-party service, you may also be subject to an agreement with the third party. For instance, Stripe is a third-party service and falls under the Stripe User Agreement. By providing payment details, you authorize Finnalby and/or its affiliates to charge the payment method for goods purchased and any applicable taxes and fees. Finnalby reserves the right to correct pricing errors and charge your default payment method. If it fails, they may charge other payment methods linked to your account.
Payment Processors:
Finnalby uses third-party service providers for payment processing. You agree that Finnalby may share your information with these processors to complete transactions.
To ensure the safety of our community and prevent scams or fraud, only transactions executed through Finnalby's authorized payment processing provider shall be deemed valid and enforceable and eligible for our File system. Learn more in our Fees and Payments Policy and Fee Avoidance Policy.
Payment Accounts:
Finnalby offers two types of payment accounts for Resellers: (1) up to Net 60 Terms Account (Terms Account) Through a Third Party Provider; and (2) Payment At Order Account.
The provider and processing duration for your payment will differ.
To ensure the safety of our community and prevent scams or fraud, only transactions executed through Finnalby's authorized payment processing provider shall be deemed valid and enforceable and eligible for our File system. Learn more in our Fees and Payments Policy and Fee Avoidance Policy.
Shipping Expenses and Delivery Durations
Shipping Expenses: Unless Finnalby or the Wholesale Seller approves free shipping, Resellers shall be accountable for and consent to pay all shipping fees displayed on your invoice. Shipping expenses will be incorporated in your invoice from the Wholesale Seller.
Delivery Durations: You recognize that lead times differ depending on the Wholesale Seller's product shipment duration. Average lead times can be found on the Wholesale Seller's page. If any order takes over 2 weeks to ship, your return period (if applicable) is automatically extended by 2 weeks. A notification containing a tracking number and shipping cost details will be sent when the product is dispatched. This information can also be accessed through your Reseller Account.
Posting a Review for an Item
Reviews provide valuable insights about a Wholesale Seller's products and can assist reputable Wholesale Sellers in establishing a solid reputation or warn other Resellers about unsatisfactory experiences.

You can submit a review, including a one to five-star rating of your purchase, for 30 days after the estimated delivery date of your item. If there is no estimated delivery date, the review window opens after the order's processing and shipping times have passed. Your review and profile information will be publicly displayed on the Wholesale Seller's listing and review pages.
By submitting a review you acknowledge that your content must not violate our rules for creating and uploading content in the following section, as well as the following:
Contain explicit, adult, or offensive language, or any content subject to our mature content policy;
Addressing matters beyond the Wholesale Seller's control, such as shipping carriers, Finnalby, or third parties;
Falsely inflating a market's review score; or
Compromise the integrity of the review system.
By uploading a review to Finnalby's website or mobile app, you warrant that:
You own the content or have the rights or permission to use the content; and
You understand that, as stated in Finnalby's Terms of Service, Finnalby has a license to use any content you provide.
Wholesale Sellers may also respond to reviews, adhering to this policy. Wholesale Sellers can report reviews that violate our Terms of Service.
We reserve the right to remove reviews that breach our policies or Terms of Service.
Generating and Uploading Content:
As a Finnalby member, you can create and upload various content, such as Chats, text, and images. To maintain a secure and respectful community, you agree not to upload content that:
Contains hateful or offensive language or imagery, or any content subject to our Anti-Discrimination Policy;
Includes threats, harassment, extortion, or violates our interference rules;
Infringes on another's intellectual property rights;
Is false, deceptive, or misleading;
Contains unsolicited advertisements or promotions, spam, or donation requests;
Discloses private information, whether yours or someone else's;
Encourages or facilitates a transaction bypassing Finnalby's checkout process;
Contains prohibited medical drug claims;
Violates any rules outlined in our Prohibited Items Policy.
Additional requirements apply to some content on Finnalby. Please refer to the relevant sections above.
Addressing an Order Issue or Returning an Item
Finnalby's File System
Although Finnalby is not directly engaged in transactions between Resellers and Wholesale Sellers, we offer a File system in case your order doesn't go as planned and you can't reach a resolution with the Wholesale Seller. If you encounter an order problem, you must first contact the Wholesale Seller via Finnalby Chat within the Purchases and Reviews section of your account. Allow Wholesale Sellers 48 hours to attempt to resolve the issue. After this period, you can use Finnalby's File System to notify Finnalby of an unresolved order issue in cases of non-delivery, damage, or receiving an item that isn't as described in the listing. These issues might be covered by Finnalby's Order Protection Program. Learn how to open a File and determine eligibility for the Order Protection Program. Finnalby, in its sole discretion, will determine if a transaction is eligible under the Finnalby Order Protection Program.
Finnalby reserves the right to change, suspend, or discontinue the Order Protection Program at any time, for any reason, without being liable to you for any effects these changes may have. You have no legal claim under the Finnalby Order Protection Program. If Finnalby does not refund you, this will not affect your claims against the Wholesale Seller you purchased from. Your legal rights remain intact.
By using Finnalby's File system, you understand that Finnalby may use your personal information to resolve disputes with other members. Finnalby only allows on-platform refunds for 60 days after the transaction. After this period, on-platform refunds are not supported, but you can still communicate with the Wholesale Seller for an off-platform resolution. Refunds will be in your original payment form, or if not available, Finnalby credit will be issued.
Finnalby’s Order Protection Program
In many cases, order issues can be resolved directly with the Wholesale Seller, or items can be returned according to the Wholesale Seller’s return policy. However, Finnalby may step in to support you if you don't receive the item you ordered, or if it arrives damaged or doesn't match the listing description. Reseller may receive a partial to full refund for such purchases.
If an order doesn't meet the following expectations, you may receive a partial to full refund, including all taxes and shipping costs:
Items are delivered on time, shipped within the Wholesale Seller's processing times, and delivered to the address provided by the Buyer on Finnalby. Informal updates to processing times or shipping addresses will not qualify.
Items arrive undamaged and are packaged to withstand handling in transit.
Items match the listing description. Items received shouldn't be significantly different from the listing description or photos. Finnalby may ask the Buyer for documentation to demonstrate the item's significant difference.
If Finnalby determines these expectations aren't met, either Finnalby or the Wholesale Seller must refund the order, including original shipping and return shipping costs. Finnalby may refund the return shipping cost as a Finnalby Credit, depending on the File specifics and whether a return is requested.
Some exclusions apply, subject to review by Finnalby’s File system. Eligible Resellers must have a registered Finnalby account in good standing. Abuse of this program may result in program exclusion at Finnalby’s discretion.
Ineligible Transactions
Some disputes do not qualify for Finnalby’s File or Order Protection Program, including:
Items altered, used, worn, washed, or discarded after receipt.
Items received after the agreed-upon delivery date due to shipping delays.
Items returned without a return agreement.
Accurately described items that don't meet a Buyer's expectations.
Shipping cost disputes.
In-person purchases.
Transactions where payment isn't processed by Finnalby Ledger, such as offsite transactions.
Disputes covered by local warranty or return laws applicable to a Wholesale Seller or their product.
Finnalby will evaluate qualifying Files escalated for review and may request additional documentation.
Refunds and Cancellations
Only Sellers can cancel transactions. Resellers can request a cancellation from a Seller via Chat, complying with Finnalby's Anti-Discrimination Policy. Should you obtain a damaged product, discover missing items in the shipment, or fail to receive the product by the anticipated delivery date, the issue must be reported within 14 days upon product receipt, as detailed in our Refunds and Cancellations Policy. You understand and agree that, if the issue isn't reported promptly, the product shall be considered delivered and satisfactory.
Finnalby retains the authority to accept or decline any missing or damaged report submitted by a Reseller at its exclusive reasonable discretion, particularly if Finnalby suspects fraudulent activities. Finnalby's determination regarding the acceptance of a damaged or missing claim remains binding.
Returning an Item
Each Seller has their own return policies, outlined in their Market Policies. Not all Sellers accept returns. For digital item returns, refer to the Seller's listing.
Requesting a Cancellation or Return:
Should you obtain a damaged product, discover missing items in the shipment, or fail to receive the product by the anticipated delivery date, the issue must be reported within 14 days upon product receipt, as detailed in our Refunds and Cancellations Policy. You understand and agree that, if the issue isn't reported promptly, the product shall be considered delivered and satisfactory.
Finnalby retains the authority to accept or decline any missing or damaged report submitted by a Reseller at its exclusive reasonable discretion, particularly if Finnalby suspects fraudulent activities. Finnalby's determination regarding the acceptance of a damaged or missing claim remains binding.
Content Associated with Products
Restricted License. Finnalby may exhibit various Content related to products, including images, product descriptions, Wholesale Seller narratives, and other relevant content for sale on its Services. You are granted a limited, revocable license to utilize Content associated with a purchased product on your company's website, solely for reselling the same item. However, you agree not to use any Content in advertising or media campaigns, including posts, emails, ads, or other communications on platforms like Facebook, Instagram, or Google, without express written consent from the Content Owner.
You acknowledge and agree that you are merely a licensee of the Content and have no ownership rights or claims over it. Furthermore, you acknowledge and agree that Finnalby is neither responsible nor liable for any Content, and Finnalby offers no representation or warranty that the Content does not infringe, misappropriate, or violate a third party's patent, copyright, trademark, trade secret, moral rights, or other intellectual property rights, rights of publicity or privacy, or contain defamatory, illegal, abusive, harassing or obscene material, or result in the violation of any applicable laws or regulations.
Agreement Exclusively Between Wholesale Seller and Reseller:
THE PARTIES INVOLVED IN EACH TRANSACTION ACKNOWLEDGE AND AGREE THAT FINNALBY, LLC:
IS NOT A PARTY TO ANY ORDER OR TRANSACTION
HOLDS NO RESPONSIBILITY OR LIABILITY FOR ANYONE CONCERNING ANY DISPUTES ARISING UNDER ANY ORDER OR TRANSACTION
DOES NOT PROVIDE PRODUCTS UNDER ANY ORDER OR TRANSACTION NOR HAS IT ENGAGED THE INDIVIDUAL PROVIDING PRODUCTS UNDER AN ORDER OR TRANSACTION AS AN AGENT OR EMPLOYEE ACTING ON ITS BEHALF: AND
IS NOT ACCOUNTABLE FOR ANY REPRESENTATIONS, WARRANTIES, OR GUARANTIES MADE BY ANY PARTY INVOLVED IN ANY ORDER OR TRANSACTION, AND HAS NOT APPROVED OR ENDORSED SUCH STATEMENTS IN ANY WAY.
Force Majeure Clause
Finnalby cannot be held accountable for any losses, delays, disruptions, or failures in content or services delivered through the Platform that arise directly or indirectly from circumstances beyond our reasonable control. These include but are not limited to:
Internet failures
Failures in computers, telecommunications, or other equipment
Electrical power failures
Strikes or labor disputes
Riots, insurrections, or civil disturbances
Shortages of labor or materials
Curfews or lockdowns
Orders from domestic or foreign courts or tribunals
Non-performance of third parties
Fires, floods, storms, explosions
Epidemics or pandemics
War or governmental actions
Acts of God or any disasters, whether natural or manmade.
In such situations, Finnalby is absolved of any liability for the non-performance or disruption of its services.
